Terms of Use

These Terms form a binding agreement between you and Dcipher LLC for your use of SousMate. Please read them before creating an account or purchasing a subscription.

  • Binding arbitration: Except for the limited matters described in Section 16, you and Dcipher LLC agree to resolve disputes through final, binding, individual arbitration instead of court or a jury.
  • Subscription notice: Paid plans renew automatically until canceled through Apple. Deleting your SousMate account does not cancel an App Store subscription. Apple handles billing and refund eligibility.

1. Agreement to these Terms

By downloading, accessing, creating an account for, or using SousMate, you agree to these Terms of Use, our Privacy Policy, our Subscription Terms, and any disclosures shown during a purchase or optional feature flow. If you do not agree, do not use SousMate.

“SousMate,” “we,” “us,” and “our” mean Dcipher LLC. “You” means the person using the app or service. If you use SousMate for an organization, you confirm that you have authority to bind that organization.

2. Eligibility and accounts

You must be at least 13 years old and legally capable of entering into these Terms. If you are under the age of majority where you live, a parent or legal guardian must review and agree to these Terms on your behalf.

You must provide accurate account information, keep your login credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity on your account except to the extent caused by Dcipher LLC.

3. What SousMate provides

SousMate is a meal-planning and cooking companion. It can organize meal options, match recipes to pantry items and preferences, maintain cooking history, send reminders, and provide recipe-specific assistance. Features, limits, recipe availability, and plan benefits may change as the product evolves.

SousMate is not a medical service, dietitian, emergency service, or substitute for professional advice. It does not guarantee a specific health, dietary, financial, or cooking outcome.

4. License and ownership

Subject to these Terms, Dcipher LLC grants you a limited, personal, revocable, nonexclusive, nontransferable license to use SousMate for lawful, noncommercial personal use. Dcipher LLC and its licensors retain all rights in the app, software, design, trademarks, recipes, text, images, databases, and other service content except for content you provide.

Apps downloaded through the App Store are also subject to Apple's Standard Licensed Application End User License Agreement. That agreement governs the license to the iOS app. These Terms govern the SousMate service, accounts, content, and subscriptions. Applicable consumer rights remain intact.

5. Free and paid plans

SousMate may offer a free tier and paid Plus and Pro tiers. Paid tiers may be offered on monthly or annual billing periods. The exact features, localized price, billing period, trial terms, and renewal price displayed in the App Store purchase flow at the time you subscribe control your purchase.

Paid subscriptions are auto-renewable App Store in-app purchases. Complete billing, renewal, cancellation, trial, plan-change, restoration, and refund terms are in our Subscription Terms, which are incorporated into these Terms.

6. Account deletion

You may delete your SousMate account from Settings in the app. Account deletion removes user-owned app data from our active database, subject to limited legal, security, backup, and provider retention described in the Privacy Policy.

Deleting an account does not cancel an Apple subscription. You must separately cancel through your Apple Account to stop future renewal charges. Review Account and Data Deletion before deleting an account.

7. Your content and feedback

You retain ownership of notes, messages, transcripts, reports, and other original content you submit. You grant Dcipher LLC a worldwide, nonexclusive, royalty-free license to host, process, reproduce, and transmit that content only as reasonably needed to operate, secure, support, and improve SousMate, comply with law, and enforce these Terms.

If you voluntarily provide product ideas or feedback, you permit us to use them without restriction or compensation. Do not submit content you do not have the right to use.

8. AI-assisted features

Some optional features use third-party AI services. AI output is generated probabilistically and can be incomplete, inaccurate, or inappropriate. You are responsible for reviewing suggestions before acting on them. Do not rely on AI output for medical advice, severe-allergy decisions, emergency guidance, or other safety-critical decisions.

Optional AI processing requires feature-specific consent. How that information is handled is described in the Privacy Policy.

9. Allergens, nutrition, and food safety

Allergen flags, substitutions, nutrition values, cooking times, and food-safety information are guides only. Ingredient formulations and cross-contact risks can change, and recipes or AI output may contain errors. Always read product packaging, verify ingredients with manufacturers when needed, prevent cross-contact, and follow trusted food-safety guidance.

If you have a severe allergy, medical condition, or specialized dietary need, consult a qualified professional. In an emergency, contact local emergency services.

10. Acceptable use

You may not:

  • Break the law, infringe rights, or use SousMate to harm another person.
  • Access another person's account or bypass authentication or subscription controls.
  • Probe, disrupt, overload, or introduce malicious code into the service.
  • Scrape, copy, republish, sell, or build a competing dataset from SousMate recipes or content except where applicable law expressly permits it.
  • Reverse engineer or derive source code except where that restriction is prohibited by law.
  • Use automated means to access SousMate without our written permission.
  • Submit unlawful, abusive, deceptive, or rights-infringing content.

11. Third-party services

SousMate depends on services supplied by Apple, Supabase, RevenueCat, Google, Expo, and others. Their terms and privacy practices may apply to your direct relationship with them. Dcipher LLC does not control third-party services and is not responsible for outages, policy changes, or actions outside our reasonable control.

12. Service changes and availability

We may add, remove, limit, suspend, or modify features to improve the product, address security or legal concerns, respond to provider changes, or discontinue unsupported functionality. We do not promise uninterrupted or error-free availability. Where a material change affects an active paid subscription, we will provide notice as required by law and App Store rules.

13. Suspension and termination

You may stop using SousMate at any time. We may limit, suspend, or terminate access if you materially violate these Terms, create security or legal risk, misuse the service, or fail to pay an amount due through the applicable platform. We will provide notice and a reasonable opportunity to address the issue when appropriate.

Provisions that by their nature should continue, including ownership, disclaimers, limitations, dispute terms, and accrued payment obligations, survive termination.

14. Disclaimers

To the maximum extent permitted by law, SousMate is provided “as is” and “as available.” Dcipher LLC disclaims implied warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, and quiet enjoyment. We do not warrant that recipes, recommendations, allergen data, nutrition estimates, AI output, reminders, or service availability will always be accurate, complete, safe, or uninterrupted.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent allowed, and mandatory consumer guarantees are not limited.

15. Limitation of liability

To the maximum extent permitted by law, Dcipher LLC and its members, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business interruption arising from SousMate.

To the maximum extent permitted by law, Dcipher LLC's total liability for all claims relating to SousMate will not exceed the greater of USD $100 or the amount you paid for SousMate during the 12 months before the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited, including certain personal injury, fraud, gross negligence, or statutory consumer claims.

16. New Jersey law and binding individual arbitration

Please read this section carefully. It affects your legal rights. To the fullest extent permitted by law, these Terms and every dispute between you and Dcipher LLC are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. This choice of law does not deprive you of mandatory consumer protections that cannot be waived under the law where you live.

Except for the limited court matters identified below, you and Dcipher LLC agree that every dispute will be resolved by final and binding individual arbitration, not in court. You and Dcipher LLC knowingly waive the right to have a dispute decided by a judge or jury. Arbitration is less formal than a lawsuit, discovery may be more limited, and judicial review of an arbitration award is limited.

Disputes covered. This agreement applies broadly to every dispute, claim, or controversy between you and Dcipher LLC arising out of or relating to SousMate, these Terms, your account, subscriptions or purchases, recipes or recommendations, AI features, privacy or data practices, communications, marketing, or the relationship between you and Dcipher LLC. It applies whether a claim is based in contract, tort, statute, regulation, fraud, misrepresentation, or another legal theory, and whether it arose before you accepted these Terms or after your relationship with SousMate ends. It does not cover a claim that applicable law prohibits from being arbitrated.

Informal resolution first. Before starting arbitration, the claimant must send an individualized written Notice of Dispute to the other party and allow 30 days for a good-faith resolution. A notice to Dcipher LLC must be emailed to support@sousmate.app with the subject “Notice of Dispute” and include the claimant's name, SousMate account email, a description of the facts and legal basis of the claim, and the specific relief requested. Dcipher LLC will send a notice to the email associated with your account. Applicable filing deadlines are tolled during this 30-day period to the extent permitted by law.

Arbitration process. If the dispute is not resolved, either party may start arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules and, when applicable, its Mass Arbitration Supplementary Rules, as modified by this agreement. The Federal Arbitration Act applies. One neutral arbitrator will decide the dispute. The legal seat of arbitration is New Jersey, and New Jersey substantive law applies, but a consumer may choose a documents-only, telephone, video, or reasonably convenient in-person hearing when permitted by the AAA rules. If the AAA is unavailable or declines to administer the arbitration, the parties will select another nationally recognized provider or ask a court with authority to appoint an arbitrator.

The arbitrator may award any individual remedy a court could award under applicable law and must issue a written decision sufficient to explain the essential findings and conclusions. A court with jurisdiction may enter judgment on the award. Arbitration fees and costs will be allocated under the AAA Consumer Arbitration Rules and applicable law. Dcipher LLC will pay the amounts the rules require a business to pay. Fee waivers remain available to qualifying New Jersey consumers.

Individual proceedings and class-action waiver. You and Dcipher LLC may bring claims against each other only on an individual basis. Neither party may bring or participate in a class, collective, coordinated, consolidated, mass, or representative action or arbitration, and an arbitrator may award relief only to the individual party seeking relief and only as needed to resolve that party's claim. The AAA may apply its mass-arbitration rules for administrative purposes, but each claim must remain an individual arbitration unless all affected parties agree otherwise in writing.

Limited court matters. Either party may bring an eligible individual claim in small claims court while it remains within that court's jurisdiction. Either party may also ask a court for temporary relief needed to preserve the status quo pending arbitration, or to compel arbitration, appoint an arbitrator, or confirm, enforce, modify, or vacate an arbitration award. A court, not the arbitrator, will decide disputes about the formation, existence, validity, or enforceability of this arbitration agreement or the class-action waiver. These are the only agreed court exceptions, apart from claims that applicable law does not permit to be arbitrated.

Severability. If part of this arbitration agreement is unenforceable, it will be severed and the rest will remain effective. If the class-action waiver is held unenforceable as to a particular claim or requested remedy, that claim or remedy will be decided by a court only after all arbitrable claims are completed, and it will not proceed in class arbitration. If a dispute is permitted to proceed in court, you and Dcipher LLC consent to exclusive jurisdiction in the state and federal courts located in New Jersey and waive a jury trial to the fullest extent permitted by law.

17. General terms

If a provision is unenforceable, it will be modified only as much as necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets. These Terms and incorporated policies are the entire agreement about SousMate.

18. Changes and contact

We may update these Terms. We will post a new effective date and provide additional notice of material changes where required. If you do not agree to revised Terms, stop using SousMate and cancel any subscription before its next renewal.
